This Terms of Service Agreement (“Agreement”) is between Coforma LLC (“Tenmon,” “we,” “us”) and the entity or individual accepting these terms (“Customer,” “you”). By clicking “I agree,” creating an account, or accessing the Tenmon platform (the “Service”), you agree to this Agreement.

1. Service access and use

  1. Provision of access. Subject to these Terms and your payment of the applicable fees, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable right to access and use the Service for your business or internal purposes during your subscription.
  2. Use restrictions. You shall not use the Service for any purpose beyond the scope of the access granted in this Agreement. You shall not at any time, directly or indirectly, (i) copy, modify, or create derivative works of the Service or Documentation, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Service or Documentation; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Service, in whole or in part; (iv) circumvent usage or security controls; (v) remove any proprietary notices from the Service or Documentation; (vi) store or transmit viruses, worms, timebombs, Trojan horses, malware, or other harmful or malicious code, files, scripts, agents or programs to or through the Service; or (vii) use the Service or Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.
  3. Support. We use commercially reasonable efforts to maintain the Service. We provide no service-level commitment, uptime guarantee, or support commitment during the Term. For questions, concerns, or to report an issue, please contact support@tenmon.ai.

2. Representations

  1. Customer Warranties. You represent, warrant and covenant that you (i) are over the age of 18 and authorized to enter into this Agreement; (ii) are not a resident of any country to which the United States has embargoed goods and services, nor are you identified as a “Specially Designated National” by the United States Treasury Department; and (iii) will not use the Service for consumer, family or household purposes.
  2. Customer IP. As between the parties, you own all data you submit to, or that we ingest on your behalf through connected systems such as GitHub, Linear, and Slack (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide and operate the Service for you, as described in our Privacy Policy.
  3. Customer Integrations. By connecting a system, you authorize us to access it within the scope you grant, including when you install our official Tenmon.ai GitHub App and select repositories the ability to read from and write to those GitHub repositories. You are responsible for the permissions you grant, for your accounts on connected systems, and for the lawfulness of Customer Data.
  4. Provider Commitments. We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data, as described on our Security page, including encryption in transit and at rest and tenant isolation. We host Customer Data in United States cloud regions.

3. Subscriptions, Fees and Payments

Subscription tiers and their prices are described at signup and in your account. By subscribing, you authorize us and Stripe to charge your selected payment method for the applicable fees, including recurring subscription fees and any taxes. Card details are handled by Stripe; we do not store your full payment card details.

Automatic renewal. Unless you cancel, your subscription renews automatically at the end of each billing period for a further period of the same length, at the then-current price.

Cancellation. You can cancel at any time through your account or by contacting us. Cancellation takes effect at the end of your current billing period, and you keep access until then.

Price changes. We may change our fees. For a change that affects your subscription, we will give you advance notice, and the change will apply from your next renewal. If you do not agree, you may cancel before the change takes effect.

Taxes. Unless stated otherwise, fees are exclusive of taxes; where required, prices may be shown inclusive of applicable taxes or VAT. You are responsible for applicable taxes other than those based on our net income.

Refunds and consumer cancellation rights. Except where required by law, fees are non-refundable. If you are a consumer, you may have a statutory right to withdraw from or cancel your purchase within the period provided by your local law; where the law permits, by asking us to begin providing the Service right away you may agree that this right ends once the Service has been fully provided.

Non-payment. If a payment fails or is overdue, we may suspend or terminate your access.

4. Your Data and Connected Systems

You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide and operate the Service for you, as described in our Privacy Policy.

By connecting a system, you authorize us to access it within the scope you grant, including — where you install our official Tenmon.ai GitHub App and select repositories — the ability to read from and write to those GitHub repositories. You are responsible for the permissions you grant, for your accounts on connected systems, and for the lawfulness of Customer Data.

We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data, as described on our Security page, including encryption in transit and at rest and tenant isolation. We host Customer Data in United States cloud regions. If you require a data processing agreement, contact us at privacy@tenmon.ai.

5. AI features

We do not use Customer Data to train, fine-tune, or otherwise improve any AI model. We contract with our AI provider subprocessors on terms that prohibit them from training on, or retaining for training, your inputs or the AI output generated through the Service.

As between the parties, you own the AI output generated for you, subject to our and our providers' rights in the underlying models. AI output may be inaccurate, incomplete, or otherwise unsuitable, and it is not professional advice. You must review AI output before relying on it — and you are solely responsible for reviewing and approving any changes the Service proposes or makes to your connected systems, including code committed to a repository. Your use of AI features is also subject to the applicable acceptable-use policies of the AI providers listed on our Security page.

6. Feedback

You grant us all right, title, and interest to any feedback you provide about the Service for any purpose, including to improve the Service, without obligation or attribution.

7. Confidentiality

From time to time during the Term, either party may disclose or make available to the other party information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, including, without limitation, the Service and its non-public features, pricing, roadmap, and Customer Data, whether or not such information is marked, designated, or otherwise identified as “confidential” (collectively, “Confidential Information.”) Each party will protect the other's Confidential Information disclosed under this Agreement with at least reasonable care and use it only to exercise rights and perform obligations under this Agreement. Customer Data is your Confidential Information.

Confidential Information does not include information that, at the time of disclosure is: (a) in the public domain; (b) known to the receiving party at the time of disclosure; (c) rightfully obtained by the receiving party on a non-confidential basis from a third party; or (d) independently developed by the receiving party. The receiving party shall not disclose the disclosing party's Confidential Information to any person or entity, except to the receiving party's employees who have a need to know the Confidential Information for the receiving party to exercise its rights or perform its obligations hereunder. Notwithstanding the foregoing, each party may disclose Confidential Information to the limited extent required (i) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that the party making the disclosure pursuant to the order shall first have given written notice to the other party and made a reasonable effort to obtain a protective order; or (ii) to establish a party's rights under this Agreement, including to make required court filings.

Each party's obligations of non-disclosure with regard to Confidential Information are effective as of the first disclosure of the Confidential Information and will expire five years from the end of the Term, provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable law), such obligations of non-disclosure will survive the termination or expiration of this Agreement for as long as such Confidential Information remains subject to trade secret protection under applicable law.

8. Provider Intellectual Property

We and our licensors own all right, title, and interest in the Service, including all software, documentation, and improvements, other than third-party models and your Customer Data (“Provider IP”). Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Provider IP.

9. Disclaimers

The Provider IP and all AI output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or results of the use thereof will meet Customer’s or any other person’s requirements, operate without uninterruption, achieve any intended result, be compatible with or work with any software, system or other services, or be error-free, secure, accurate, complete, or free of harmful code.

10. Limitation of liability

Provider will not be liable under or in connection with this Agreement under any legal or equitable theory, including breach of contract, tort (including negligence), strict liability, and otherwise, for (a) consequential, incidental, indirect, exemplary, special, enhanced, or punitive damages; (b) increased costs, diminution in value or lost business, production, revenues, or profits; (c) loss of goodwill or reputation; (d) use, inability to use, loss, interruption, delay, or recovery of any data, or breach of data or system security; or (e) cost of replacement goods or services, in each case regardless of whether Provider was advised of the possibility of such losses or damages or such losses or damages were otherwise foreseeable. In no event will Provider's aggregate liability arising out of or related to this Agreement under any legal or equitable theory, including breach of contract, tort (including negligence), strict liability, and otherwise exceed one hundred dollars USD ($100).

11. Term and termination

This Agreement begins on the date that access to the Service is provided and ends upon termination (the “Term”). Either party may terminate at any time, for any reason, on seven (7) days' notice. We may suspend or terminate access immediately if we reasonably determine that (a) there is a threat or attack on any of the Provider IP; (b) your use of the Provider IP disrupts or poses a security risk to the Provider IP or to any other customer or vendor of Provider; (c) you are using the Provider IP for fraudulent or illegal activities; (d) subject to applicable law, you have ceased to continue its business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding; or (c) Provider's provision of the Services to you is prohibited by applicable law; or (d) any vendor of Provider has suspended or terminated Provider's access to or use of any third-party services or products required to enable Customer to access the Service. On termination, your access ends and we delete or de-identify Customer Data in accordance with our Privacy Policy, except as required for legal compliance. This Section 11 (Term and Termination) and Sections 6 (Feedback), 7 (Confidentiality), 8 (Provider IP), 9 (Disclaimers), 10 (Limitation of Liability), and 12 (General) survive any termination or expiration of this Agreement. No other provisions of this Agreement survive the expiration or earlier termination of this Agreement.

12. General

This Agreement constitutes the sole and entire agreement of the parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter. This Agreement is governed by the laws of Maryland, excluding its conflict-of-law rules, with exclusive venue in the state and federal courts located in Montgomery County, Maryland. We may update this Agreement for the Service by posting a revised version with a new version date; continued use after the effective date constitutes acceptance. Customer may not assign this Agreement by operation of law or otherwise without Provider’s prior written consent. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns. If any provision is unenforceable, the rest remains in effect.
